These Terms and Conditions ("Terms") constitute a legally binding agreement between you and ORANGE MARMALADE INC. (doing business as OrangeDocs) ("Company," "we," "us," or "our"). By accessing or using the OrangeDocs platform, website located at orange-docs.com, or any related services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.
OrangeDocs is a document alert platform that enables businesses to send automated SMS and email notifications to their customers and contacts when documents require action, signature, approval, or review. The Service includes:
OrangeDocs is a notification and alert infrastructure service. We are not a document management platform, electronic signature provider, or lending service. This is not a direct lending service.
To register for and use the Service, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts; (c) not be prohibited from using the Service under applicable law; and (d) provide accurate, complete, and current registration information.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at info@orange-docs.com of any unauthorized use of your account. You are liable for all activities that occur under your account.
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:
We reserve the right to suspend or terminate your account immediately for any violation of this section.
Access to paid features of the Service is subject to applicable subscription fees as described on our pricing page. Fees are billed monthly in advance. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
We reserve the right to change our pricing at any time with thirty (30) days' notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing. You are responsible for all taxes applicable to your use of the Service.
The Service, including all software, interfaces, designs, text, graphics, and documentation, is owned by ORANGE MARMALADE INC. and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes in accordance with these Terms.
You retain ownership of all content and data you submit to the Service. By submitting data, you grant us a limited license to process and transmit that data solely to provide the Service to you.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your information as described in our Privacy Policy. By using the Service, you consent to our data practices as outlined therein.
We implement industry-standard technical and organizational measures to protect your data. However, no data transmission or storage system can be guaranteed to be 100% secure.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORANGE MARMALADE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to defend, indemnify, and hold harmless ORANGE MARMALADE INC. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your violation of any third-party rights; or (d) your violation of any applicable laws or regulations, including those governing electronic communications and SMS marketing.
OrangeDocs operates an SMS notification program to deliver document alerts on behalf of our business customers. The following terms govern our SMS campaign:
Use Case: This SMS program is for customer_care use case — delivering transactional document action alerts to consenting recipients. This is not a direct lending service.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent will not be shared with any third parties. Carriers are not liable for delayed or undelivered messages. Message and data rates may apply.
SMS consent is not required as a condition of purchasing or using any goods or services offered by OrangeDocs or its business customers. You may opt out at any time without affecting your access to the Service.
Either party may terminate these Terms and your access to the Service at any time. You may cancel your account by contacting us at info@orange-docs.com. We may suspend or terminate your account immediately, without prior notice, if we determine that you have violated these Terms or if required to do so by law.
Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, and 12 of these Terms shall survive termination.
These Terms are governed by and construed in accordance with the laws of the state where ORANGE MARMALADE INC. is incorporated, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
